spiderman would win easily...
why? Captain America's powers stem from a growth hormone/steroid sorta shot..much like batman's bane character.
He has honed fighting skills and a bulletproof shield
Spiderman is a grad student in chemistry...
he is superhumanly strong..he can lift cars
spidey can climb walls..spin a chemical web strong enough to hold a charging rhino..
the kicker is his spider sense..it warns him of approaching danger so spidey can react quicker.
Spiderman is also younger...techincally born in the 60s...
whereas Capt. America was like 20 something in 1944,,,
do the math..it would be like fighting your grandpa..
Cap fouught the likes of the red skull and the nazis
Spiderman took on carnage and venom

He has more brains , experience and
That awesome shield
He's beaten the red skull , leads the avengers, stood up to superpowers villains .

Spiderman has the better powers but the captain has experiance and his shield to cut spidies web so captain america because his got experiance but now hes dead.

If it's well written, it'll be tight, because Spidey has the advantage in strength and reflexes, but Cap has the advantage in cunning and overall fighting technique.
But I still pick Spidey, especially if he's willing to use his full power (proportional strength of a spider, remember?).
Plus it's kind of hard to lose to a dead guy anyway.

Spiderman. captain america is a strong guy with a shield and no sword., which is kind of gay. but spiderman has superhuman strength and would web that dude and his stupid sheild up and kick his butt.!
