The fact that you ask a question like that means that you know very litte about computers and operating systems.
If your computer is so old that it still runs Win98, it is probably too limited to run WinXP effectively or with any reasonable speed. You would be much better off to bite the bullet and just go buy one with everything.
However if you must do this, then do the following:
Make sure (before you do anything) that you have on hand all the installation disks for the various software you will need to install, as well as all the driver disks and cd's for your motherboard and whatever hardware you have (display card, modem, camera, etc.).
Also make sure you have all your data backed up in a form that you can reload later (e.g. written to a cd).
Put in the XP installation cd and boot the computer from it. You may have to go into the bios to make it boot from the cd before the hard drive. The installation will probably format the hard drive, which is why you need to back everything up before doing this stage.
All through the above process, keep fingers (and toes) firmly crossed.

The first thing you upgrade is the Operating System! Install XP Professional SP2 on you computer and then think about the other stuff...Not many programs that are newer will even work on 98...But, if your computer is really old (say running P3 Processor) then the best thing to do is drill a hole in the side of it and tie a rope to it and use it as a boat anchor...
Just Build a new computer...doesn't cost that much now and you'll get a better computer doing it yourself...do some research, do some reading..get a book from the library...it's really easy to do now...You don't have to be a tech to do it..

It depends on what you want to upgrade to & why. If your 98 is stable & runs all the programs you need.... why mess w/a good thing? If you really want to upgrade, I wouldn't recommend putting much money into it. This is because you can get a relatively decent system for less than the cost of the components you would need for an upgrade. If you really want a new system - go buy an XP. Stay far away from Vista till it's had it's major patches & tweaks done.
As for the 98, clean your data using a dod wipe, reformat, reinstall & donate the pc to a relative who needs one that will get them online. Or donate it to a church, teen group, halfway house, school, or any other charity in your community. There are ton's of charities that have needy people who need a pc to learn off of. Especially children in disadvantaged communities.

If you try to upgrade a computer that old, you would spend more money than just buying a new one. If you insist, you will need the following for a Vista up-grade: 1 meg of memory or more; a new video card; a new processor ( which may include a new cooling fan and power supply); a new monitor; a DVD drive; a hard drive of at least 20 gig. There may be more that I missed, but that is a very good start. By-the-way, Walmart.com is selling a complete Vista system for les than $450. The uogrades above will cost more than that and you will still have a 10 year old computer. Good Luck ! - Gary

Chances are that your machine wont be able to handle XP if it still has 98 on it.
But your easiest bet is throw in the XP cd and pray for fast performance or get a new computer. PC's are cheap now so buy one
