if you sell the product key and original packaging and do not continue to use it yourself.....YES.

If you plan on installing vista on a larger drive, then NO

Download Darik's Boot and Nuke. This will wipe the drive to Department of Defense specs. you can then sell the drive with the guarrantee of keeping any personal info private. Even formatting the disk does not guarrantee that the data is really gone.......there are programs out there that will allow me or anyone to reconstruct the drive to preformat condition. with a DoD wipe, the drive will be irrecoverable.

I believe they only allow software to be sold with the entire hardware assembly it was originally purchased with, unless you are a Authorized Microsoft Retailer.
