It's because they are further away from residential areas where there are schools (where applications for masts are often refused), but they are in an open enough area to still provide good coverage. There is virtually no contest to the applications for motorway mobile phone masts because most people don't live near enough to one for it to bother them.

Simple....the land near the motorways is cheaper the phone company's to put up their masts and also it makes them easier to service the said masts when they need to perform work on them. Would you rather the phone company's put their masts up in a cheaper land area to reduce your rates for your cell phone service, or on a higher price land and jack your rates up??? Simple business law, keep costs LOW.
And the reason why driving with a mobile phone is illegal is because it is DISTRACTED driving. When you are driving, you are suppose to be paying attention to the road, not the phone.

What about the passengers in your car? Or the people in a bus... they can use the phone, can't they?
Also, usually it's easy for the people to locate them there, as they already have power (from the streetlights), and probably some empty space (an easement) that they can put the tower up in.

Because they are ugly and unsightly like a motorway so who bothered about looking at one whilst driving. I certainly wouldn't see it as a sign you can drive.

So the passengers can use their phones, so that you can call in an emergency, so that you can use phone legally using your hands free kit, because roads are next to major population areas.

Placement of antennas for cell phones has absolutely nothing to do with the law in some states that you can't use a cell phone while driving.

They are there so they can be easily maintaned. They require ALOT of work to keep them going and they are literally everywhere.
