It's harsh, but if you don't want to be the one to move (and by rights, you're the happy one, right?) she should move on!

Make it clear to her that you do not share her views; that you are happy with your job; and that things are certainly not better elsewhere. Hopefully that will let her know how you feel and she will stop with the incessant whining. If that does not work your only choices are to continue to ignore her or go to your boss and honestly discuss the matter. The latter choice is a big step and may cause more friction if they do not get rid of her.

if you love your job and trying to ignore this person hasn't worked for you i think the best approach is to as nicely as possible tell them that if they are so dissatisfied with there job and the company they work for that maybe they should stop complaining about it and do something like find a new job or work with management to help solve problems at work not complain constantly and make everyone else miserable and at least they will know where you stand on everything. if they don't quit maybe at least they will stop talking to you about there dissatisfaction's.

Tell her that you're concerned about her because she always seems so down and takes such a negative view of things, and that you're concerned she might be depressed. Refer her to your company's Employee Assistance Program or to a counseling service, because "it might help her to have someone to talk to."
She probably doesn't realize how negative she's being - maybe hearing that others are concerned about her mental state will be the wakeup call she needs.

I'm a very optimistic person, so when anyone around me complains or makes negative comments, I will always respond with something positive, then if necessary change the subject.
