Are you running a program from the drive when you get that message? If you are that may be the problem.
If not, then try a reboot, sometimes programs "especially the operating system" need a fresh start with xp to get them working normally again.....

May some of the file or program in that devise is still in use.
For example, you attached a file to an e-mail and while the mail is in the process of sending you can't stop the USB.

Try terminating all the other programs you used then stop/eject the USB devise.

In other case, you can't stop that USB devise when a virus is automatically infecting either from the device to computer and vise versa.

That happens sometimes to me as well. And NOTHING from it is open. I don't have a virus on the stick. Just try a few times to stop it, and if it keeps saying it, pull it out ;)
I know you should eject before you pull it out, but my friends never do, and theirs is fine. I've heard of 2 cases where their USB device stuffed up...but it doesn't seem common.

There must be some program using your USB device. If its a pen drive, see if some file on it is opened, and close it.

If no file is opened or no program is using it, then it can be a virus on the USB drive. Use a antivirus scanner then.

This is because your OS is still using some file or just accessing it at that moment.
Close all the files that you have opened, and wait a cpl of seconds or maybe a minute before ejecting it.
