spin-off takes a character and gives them a show.

as far as grays anatomy, they are considering and making plans for a show based on one character. from wikipedia:

A spinoff is when they take a character from a popular TV show and give them their own show being the same character..like Joey is a spinoff of Friends.
But I'm pretty sure Grey's Anatomy is not a spinoff and there's no spinoffs from GA as far as I know...

It's when they take a character from one show and give them their own show - i.e., The Jeffersons were the next door neighbors to the Bunkers on All in the Family; Laverne and Shirley were friends of the Fonz on Happy Days; Florida from Good Times was the maid on Maude. The character stays the same, just moves to a different show.

A spinoff is a show that is like an extension of an established show. For example, "Joey" was a spinoff of "Friends", "CSI: Miami" of "CSI: ", "CSI: NY" of "CSI: Miami", and so on.
With regards to Grey's Anatomy, I think what its going to be is Dr. Montgomery (Addison) is going to go back to New York and take up an OB/GYN thing there.

"Spinoff" Usually means a television show that is birthed out of another show, and is rarely successful. I guess Laverne and Shirley and Mork and Mindy were exections.
Remember "After M.A.S.H.?" or "Trapper John M.D.?" Or "The Ropers?"...Oh my God, those were bad.

They will basically take a character (or characters) and create a new show around them. Like all of the Law and Order and CSI shows for example.........Hope this helps :)
