Business persons have the:
Right to enter any contract freely.
Right to conduct their business as they wish.
Right to purchase other businesses and trade public stock.
Right to protect ideas with patents.
Responsibility to represent themselves and their services/products honestly.
Responsibility to comply with the law (tax, environment, etc.)
Responsibility to allow competition, i.e. avoid being a monopoly.
Responsibility to trade companies/shares according to publicly disclosed knowledge, i.e. without insider knowledge.
Responsibility to use technology/ideas which belong either to the public or to them, i.e. to not infringe upon the patents of others.
In general, the right to free and honest dealings, and the responsibility to honor the same right for everyone else.

I guess a businessman have the same rigths and responsabilities as any other citizen.
But if you are talking about ethics he has gotten diferent responsabities with his associates, clients, and employees.
He will have the responsability of take care of the environment.
And after a great success, as some of the more powerful businessman in world, they have some responsabilities with the comunity, and with the humanity to share what he have gotten, returning some goods back doing some charity.
