if you can buy the same brand as your existing one, you may be able to leave the original housing in place. on some brands, the fan and mounting bracket assembly are interchangeable. when you go to buy the new fan, take measurements of the opening, and the fan cage and bracket with you and ask the salesperson if it can be done. of course this is assuming that you were happy with your old fans performance. if you were not and want something different, still bring the measurements of the opening in the ceiling so the new one will be big enough or larger. also, measure how large the bathroom is so that you buy one that will move the right amount of air, height x width x length. i have found that the cheaper ones don't do a good job, or last very long, better to spend a little more and do the job just once. you will want one large enough to change the air in the bathroom about one or two times a minute. beyond that, shape and style of the light, night light, it's all bells and whistles. good luck, hope this helps.

It is easy if you buy one that is the same size:

1.
Turn off the power to the existing fixture at the service panel. Remove the old fixture. Position the template or housing on the ceiling so it aligns with the ceiling joist. Trace around the template or housing to locate the opening. Alternatively, if you have access from above, position the housing or template next to the joist and trace around it.
2.
Cut out the opening according to the manufacturer's directions using a drywall saw, saber saw, reciprocating saw, or utility knife.
3.
Attach the ductwork and insert the housing up into the opening. Secure the housing to the joist with the fasteners provided. Make sure to fill all the mounting holes with fasteners to reduce vibration and ensure noise-free operation.
4.
Connect the fan unit to the existing wiring following the manufacturer's wiring diagram. Be sure the electrical circuit is turned off when doing all work.

5.
Attach the fixture to the housing and attach the grille to the fixture with the fastener provided.
6.
Screw in a light bulb and attach the diffuser; this will generally just snap in place. Finally, run the ductwork, making as few turns as possible (see above). Mark the location for the vent cap and cut out the hole.
Apply a bead of silicone caulk around the perimeter of the cap and slide it in the opening. Fasten the cap to the wall with galvanized screws. Connect the ductwork to the vent cap and test the system.

It isn't difficult but it also depends on where the exhaust fan is located. For example, your exhaust fan may only be accessible through the attic.

See link below for great instructions fro DIY show on replacing your exhaust fan.

Good luck.

never thot about it being difficult rather than it had to be done.
Are you replacing the motor or the whole unit?
Going to a larger size different model or what?

Do it step by step - rip out by rip out and it gets done. Do it on a sunny day helps too.
Read the instructions REALLY helps REALLY!!

Do you have adequate good tools or just a hammer? Can you use tools or are you just a "visionary". Do you know how a building goes together.
Can you do more than simply pound in nails?

CAN YOU(WILL YOU) FOLLOW DIRECTIONS?
Honest answers to yourself would be good.

it's not hard if you are replacing an existing fan. just drop the old one out and connect the wiring on the new one and attach it to the box. if you don't already have a fan then you will have to run a wire and put in a box in the ceiling.

it's pretty easy the hardest part is if the new one it bigger than the old one and you have to cut the drywall out of the way, other than that a few wires and your done.
