what if he is getting close to you just to get close to another friend of yours or just to cause a riff b/w you and your friend. Trust me on this one....your friend is going to be there for you and not this guy....you have to think if it was the other way around would your friend do that to you or would you want that done to yourself??? It is probably hard enough that she isn't with him anymore don't add to the pot....be supportive go out and find new guys together...i bet you will have more fun!!!

I'd talk to her about it first. But even if she says it's okay, I would be very cautious as going out with him may mean the end of your freindship with her. So think hard about whether you value him as a potential boyfreind more than you value her as a freind.
