I would take Number 1. Reason being that you can always grow with this company and with 40 or so employees it will be easier. If you start a job as a COO you a at the top and the fall is always fast and the landing hurts. If that company does one thing wrong its on you as the COO. Plus with #1 you have the opertunity to learn your job with a small amount of people teaching you not 650.

Both! As COO I would bank as much salary and stock options as possible, then resign and buy the small company of 40 people and enjoy the perks of being the boss!

With having no kids and family to uproot, or having to ask them to change their lifestyle's, I'd go for 2. Once I got enough experience, then I would be looking to get back in the USA.
1 will work for some experience but nothing compared to a Cheif of Operations. But I'd have to have my family's support, because they are who I am working for in the first place.
