I am new startup company.

I want to know how to ask for an exclusive dealership or to become a licensed dealer from a company?

How to start with? Go and knock their door and tell them? What should I prepare? How to convince them? Any legal document I have to prepare? Or let the other party prepare for it?

The company in question doesn't have any dealer selling that product. They haven't finalize how to sell it.

I afraid after I propose my idea, they will decide to take my idea but they do on their own.

Let's say I've arrange a meeting with the sales manager, what should I say and what should I provide in the 1st meeting?

Find out who the other company's sales manager (may be another title, depends on the company) is and contact that person in writing, telling them what you want.

One thing they will want to know is your sales strategy for marketing their product. If they are willing to grant you an exclusive dealership, they want to know that their product will be marketed as well as giving multiple licenses.

Secondly, are you willing to pay for the exclusive rights? Even if you can market their goods aggressively, why should they give you an exclusive if they can collect license fees from many different vendors?

If this other company is regularly granting licenses to sell their products, they should have contracts already. If you are granted an exclusive license, expect it to be for a limited amount of time. There will also probably be minimum quotas for you to meet in order to maintain the exclusive relationship.
