You need to install XP afreash. Even if you can install the XP upgrade, it is always better to clean install XP on a machine.
Here are the steps.
1. First back up your files from your PC.
2. Make XP bootup disks (Go to Microsoft website and type XP boot disks in search). You will end up having 6 bookup floppies. Make sure you lable them properly.
3. Then restart the computer with the first boot disk floppy. It will guide your through asking you to insert the next floppies and the procedure continues till you are done with all the 6 floppies.
4. After the 6th bootup floopy, the computer will restart automatically and ask you to insert the XP CD. This is when you insert the XP CD and complete the install.
Make sure you have atleast 128 MB of RAM or more otherwise XP wont even install.

You can probably do it just fine - try putting the XP CD in the drive and see what options for install it gives you. If I were you, though, I'd make a full backup (which you'd want to do for the upgrade as well) and reformat the drive. Either option should be fairly easy to follow with your XP cd.
If you're more technically inclined than I gave you credit for, my apologies. You might also think about taking this opportunity to partition out your drive.

With either the full version or upgrade version of XP it is advisable to format your hard drive and do a clean install. If it's the upgrade version you will be asked to put the ME disc in. This is only to verify that you have a previous version of windows.

I'll try to keep it simple. Windows XP install disc will walk you thru formatting your hard drive then it will install XP on your computer.Just take your time and make sure you read what the install disc is telling or asking you it is very easy if you follow directions correctly.

I did this on a older computer. YES YOU CAN INSTALL XP
Do a clean install of XP.
Save all your important files picture or folders to a CD or DVD.

*IF* you have the UPGRADE version of XP you can install "over" ME.
IF it is the "Full Version" it will detect ME and inform you that it can't install "over" an existing OS.
So youi'd have to boot from a floppy startup disk and install XP
