sweetie, i know how u feel. i don't share an actual office, but we are in close quarters, and i work w/someone who is sooo negative, it drives me nuts. everything is wrong with everything all the time, can't ever say something good is going to happen. it's tough, all i can really say is try to ignore it, which can be nearly impossible i know. your not the only one!!

ask for a seperate office due to noise control. You don't have to give the co-workers name and since your boss is on the way out then he should have no problem with finding you a new spot.
Otherwise, you could always wait till you get a new boss and then complain. Be sure to be the first to complain, however; because the new boss will be eager to show off his/her new position by taking action. Good Luck!!

DRIVE HER INSANE!
Create a new e-mail account with her name on yahoo or something and send it to her work e-mail address all day with random messages. You could include links about junk food, being too negative, gossiping at work; this may straighten out the problem a bit!
If not, it will drive her crazy having e-mails coming in to her from herself! Use the computers at your local library.
If you don't feel comfortable doing that, start hanging up all kinds of positive messages around your space.

have you tried talking to her and simply saying- i would appreciate if you turn down your ringer, talk more quietly, etc because it is distracting me from my work. Thank you.
just keep the conversation positive and see how she reacts.
