why is first accusatin illegal if its true?

The 1st accusation is definatley illegal. However, I think that maybe there is some kind of loophole that makes your second accusation legal.

If the owner has the business set-up as an S-corp of which his is the single owner then he is entitled to pay himself a wage, and take a portion of the business profits in dividend payouts to lower the taxes that he would otherwise pay as a sole-proprietor.
