My advice would be this: Don't take anyone’s advice. This is your ball game...you get to choose how, when and why on this one.

I'm sure this woman is special to you...considering that you want to spend the rest of your life with her, so make this moment special to. Think back to all the intimate moments in your relationship and try to remember something that was yours (yours and hers) and yours alone. Depending on the girl, I would think proposing to her over a intimate, romantic dinner would be perfect. However, I'll always remeber when my fiancee proposed to me. I don't remember what I was wearing or where we were as much as I remeber how passionatley he expressed his love and appreciation of me. So...just speak from your heart. I think she'll love that more than anything else.

invite her to a fancy restaurant, have a romantic evening, be sure to arrange for flowers to be delivered at the table, have the ring, and ask her, or maybe you can take her to a walk on the beach or make it more fantasioux and invite all your friend to a cinema premier and arrange that the cinema make the announcement in the break time or something that you imagine and you want it to be like.
