It could be hung up. Here's a trick. Push the power button and hold it in for 5 seconds. Its should power down.

Let me guess, you have an older pc? I bet that it says it is now safe to turn off your pc. I would think that it would be related to how the BIOS interacts with the motherboard. If that is not the case, then you probably have a program that will not end. You do not need to re-install windows if you are using XP, go to the system restore and pick a date before you started to have problems. Don't worry about losing documents, you might have to re-install a program or two, and you might install the one that is causing the problem. You should also install and run a good adware removing program such as adware se or spyware doctor. You might have adware or spyware. These can cause computers to hang in some cases.

Enable the Power Management in the BIOS, if it is off it can cause that Behavious, that it doesn't power down on Shutdown.
But XP refuses to Boot if this is off, so I don't know for sure.

The probability is high that it's Spyware or a Crashed Programm.
Try to reduce the Waiting Time for Programmfeedback.

if holding the button in for 5 seconds doesn't work reinstall windows
