How much do you value her friendship? If she's really getting on your nerves, it's not worth it to hang around such a negative person. But if you like her, you have to tell her that it bothers you when she's negative and puts you in a bad mood. Point out to her that her life is pretty great and you would appreciate if she would not whine about these things (you can point out that this will make her happier as well).
Good Luck!

If she is truly a friend just simply say to her, try to find the good in everything, and be happy with what school you are at. you see just because she is rich and gets what she wants does not mean she is happy , you are probably happier than her by far. A lesson I have learned is " less is More!"

there's nothing wrong with pointing out the obvious, you know~but also understand that she is used to having everything she wants, so it's no big deal...ever hear the expression "money can't buy happiness?" Perfect example. Just be supportive but at the same time, feel free to let her know that it isn't all bad and she should be thankful for what she does have. Good luck!

Tell your friend how happy you are that you have her and remind her about all of her great qualities (like her gorgeous eyes or how great she is at checkers) and the good things in her life and school.
And leave out the fact that she's rich and possibly spoiled. You may just feel that way because you're seeing it from the outside.

Pity. She'll keep getting what she wants, yet she'll never be happy. It's because she doesn't really know what she wants. But girls like you and me who know what it's like to miss out on many things, but are low maintenance, can be happy with little things that other people overlook.

that's really just something you can learn from. it might not be your place to tell your friend... "oh suck it up and get over it!"... instead i would take that opportunity to realize that material possessions do not equal happiness... and that's a good thing to learn. in addition, you may try to help your friend search her own soul and find out what she's missing in her life. it's probably something intangible like intimacy.

Just beause she is rich and gets everything she wants doesn't mean she is happy. Be there for your friend, when she needs to chat, listen.

Remind her to be grateful for what she has cause it can be taken away very quickly. Tell her to stop complaining and start doing something for someone else for a change.

tell her like this...
example: "oh, jessica be quiet, you always complain, just think about people worse off you got it alright" then if she does it again, you tell her bluntly instead of sugar coating it: "jessica i am tired of you constantly whining about how bad your life is!" you know money is the cruelty to all evil
