He was shot by the Haitian to protect Claire. The "Organization" wanted Claire because they discovered she was "special" when she walked out of the house and healed before everyone present. They wanted to turn her into a guinea pig. HRG would not let that happen.
He has known for years that she was "special" and this knowledge would have resulted in certain death for him and the rest of his family because he never turned her over to them. They also have captured Matt, the mind reader and he has the ability to pick up stray conscious and unconscious thoughts.
To save Claire from their clutches, HRG and the Haitian arranged for her to disappear. The best way for that to happen was for him to be shot, that way it appeared that there was a struggle of some sort and she was taken away.
In addition, the Haitian wiped his mind to prevent the conspiracy between himself and the Haitian being discovered and also to wipe any memories he had of her being a "special" child.

By the Hatian, but is was only a cover, he isn't dead. It is so the people above him would suspect him of helping Claire escape with The Hatian...
