Madam 'kolohe', who gave an answer in this column,
rightly pointed out that the state of sadness is more
of an emotional state as opposed to upset which is a
conscious state.
"Our two minds .... One is an act of the emotional
mind, the other of the rational mind. In a very real
sense we have two minds, one that thinks and one that
feels" (Daniel Goleman, Emotional Intelligence,
Bloomsbury Publishing, London, 1996, page 8).
The emotional mind is the sub-conscious mind
connected with grief and depression. The rational
mind is the conscious mind connected with
logic and reasoning. According to the Upanishads,
these two are opposite nature. Modern psychology
has also observed that fact, but is not very sure
about it.
"At the same time, reason sometimes clearly seems to
come into conflict with some desires (even while not
being in conflict with others) giving us the impression
that reason is separate from emotion".

I'd say sad is more of a emotional state as opposed to upset which would be a physical state.
Also sad would be from something which affects: and upset would be from something which effected you.
To be sad or sadden, one is affected w/grief or unhappiness brought about by surrmounting obstacles.
Whereas, to be upset or upsetting would tend to be the effect of something mentally or emotionally troubled. Upsetting causes physical disorder by throwing emotional disturbances and confusion.

I believe it is the difference between being angry or depressed.
If you are upset you act on or react to that emotion.
If you are sad you withdraw and brood.

upset: angry and u may react in a bad way to other
sad: is being disappointed and no hope so u may feel lazy to do any thing or even to speek
