There is quite a bit of violence as well as lots of bad language. Great movie though.

Answer: Graphic violence. Examples: the scene where Neo and Trinity storm the office building. The guards are riddled with bullets. So many shots are fired that the column that a guard is hiding behind is utterly destroyed.
The scenes in which traitorous crewman proceeds to kill all the crew jacked into the matrix, and then fires the energy beam at Tank and Dozer

Gratuitous violence. There's an actual limit to just how many actual killings you can show before you get an R. However just one full frontal nude scene will get a PG film an automatic R.

The Matrix is rated R? Probably because theres some gross stuff for some reason i dunno its hard to figure out that movie if you dont pay attention to it (I dont recommend you dont...the movies a waste of time! )
