Ghost rider can't do the soul thing cause spiderman is a good guy. And Spider man can't get near ghost rider with his fire.

Good question because both characters are very similar.
I would have to go with Ghost Rider because he's a demon, and he's got that motorcycle, so he can chase Spider-Man until Spidey is exhausted. The longer the battle goes, the longer it favors Ghost Rider. I think GR's flame aura will burn Spidey's web if Spidey tries to throw a web a GR.
