Dont format the disk you can lost your bootable files.
first delete all unusable files.
insert the cd and restart your computer
it remove your old files and copy all new files automatically.

It is important to backup your important information, because upon formatting you will lose all the data. In order to format you hard disk, you should do the following steps:
Step 1. Insert your Windows XP installation disc into your CD drive.
Step 2. Reboot your machine. After while, your machine will prompt you to boot from the CD.
Step 3. Go throw "Windows XP Setup" until installation option, where you should specify which drive you want to use. In that stage, you can FORMAT you drive(s) by pressing "F".
Step 4. Go on until finishing the installation process.
Step 5. Enjoy.

Reboot your computer and go to your bios setup (usually you hit the del key) Find the heading for Boot or Boot Order and set the order so that the CD/DVD drive is first in the order. Then insert your windows CD and restart the computer. The computer will boot to the windows setup cd. Go through the procedure to reinstall when the installation gets to the point of selecting a partition to install windows on if you want to COMPLETELY DESTROY the previous installation have windows delete the old partition and create a new one. Bing bang boom you will have a full clean installation.

Insert your xp cd and then reboot your computer. Then boot from the cd allow it to do it's set up and then delete the old partition and then create a new partition then format the hard disk ntfs and once thats complete the xp installer will pretty much handle the rest.

Now-a-days all the windows xp cd r autorun, and have the option of formatinf the hardisk, just put in the cd and start the pc if ur pc does not autorun the cd before windows, then goto the boot setup and make first boot option to cd-drive.
or u can make a startup disk, boot from the floppy drive write
c:\format or which ever partion u want to format
then
g:\setup (which ever is the letter for the cd-drive and full path of for the setup drive)

1. boot from a bootable cd
2. check the option of starting with the cd rom support
3. you will be lead to A:/
4. now type "A:/ format c:/q"
5. after formating pull out the cd and insert the xp cd and reboot the computer
6. now click any button to start computer with cd rom support
