If there's too much dirt on top of the root ball, so that it covers up the stem, the stem could get too much water and rot.

Yes, in these instances:

First, if it is planted too deeply--if a plant is planted or repotted much deeper that it was originally, the green part of the plant now covered up, can rot, or the plant's roots will not get enough oxygen. This can kill the plant. One plant that CAN easily handle being planted too deeply is a tomato plant. It will simply grow more roots, and in fact, grow better as a result. Nearly all other plants cannot handle this treatment.

Second: if a potted plant is repotted into a much larger pot, the plants roots may not get enough oxygen, or the plants roots may be unable to use all of the moisture in the potting soil, leading to rot. When you repot a plant, the new pot should only be slightly larger than the old one.

There is a proper depth for the plant to go into the ground. For example grafted roses and lilacs need to have their graft joint above the dirt so that the top part does not root. Trees that are in an area that is being re-graded have to not have their trunk covered higher than it originally was to avoid suffocation. Plants that are re-potted need to be at the same depth rather than further down in the dirt of the bigger new pot.

Well, I don't think it will die because I heard that plants need soil to live so i just don't think a plant dies with a lot of dirt

No. A plant could die if it's not potted properly (eg, not enough clearance for roots). I suppose if you added too much dirt and didn't proportionally add the right amount of water, then it might die.

As trees don't like their dirt too high, plants also need their roots not too deep so they can breathe
