USB 2 (High Speed) is up to 40 times faster than USB 1, but is backwards compatible and will run at the slower speed if plugged into a USB 1 socket. A warning message is likely so that you know that the connected device may not be running at its rated speed.
There are also two (3 now) Ethernet Local Area Network (LAN) speeds. If you plug your USB 2 Ethernet converter into a USB 1 socket, it should run but at the slowest Ethernet speed. In a USB 2 socket, it would run up to 10 times faster (Ethernet limit).

USB is a connection on a PC, it's small rectangular and if you look inside it, you can see a white plastic bit.
USB2 or USB2.0 is an upgrade from the older USB1.1. Now, information that can pass through it a little faster.
A USB2 to ethernet converter is a cable with a USB connection on one side and a network one on the other, so you can link 2 PCs or a PC and a laptop via the USB port on the computer

USB is a way of connecting devices to your computer. There are two versions of USB, 1 and 2.
USB 2 devices will still usually work in a USB 1 computer, but you will be adviced that 'This device could work faster with USB2'.
The main difference between the two is speed. The USB to ethernet converter is just a way of adding a Network port to a computer.
