Hmmmnnnn, I'm no zoologist but here goes...
Similarities:
Both are cold blooded (except the great White Shark)
Both give birth via eggs (except some sharks)
Both eat flies (... I am a fly-fisherman)
Both are born in water.
Both are favourite dishes of the French
Some fish can live in both water and in air... frogs can
Both are prey for snakes.
Some frogs are poisonous... see Arrow Frogs... some fish are poisonous.

Differences:
A fish lives in water all it's life (generally)... frogs start off as water bound creatures (tadpoles) and move to an air-breathing existence.

Fish have tails and fins for life... frogs lose theirs.

Fish have gills... frogs lose theirs.

Male Frogs fertilize eggs for reproduction through a penis (I think)... fish fertilize eggs by spraying milt on the already laid eggs.

Frogs are noisy and vocal... fish... not so much.

Some similarities:

1 - both lay eggs to propogate the species
2 - both are ectothermic (rely on the environment to regulate their internal temperatures)
3 - both are vertebrates
4 - both are known food sources for humans
5 - both are less than common domestic pets
6 - both have the capacity to be poisonous (some species of each at least)

Some differences:

1 - fish breathe in water through their gills their entire lives, frogs start off breathing water, but change to taking in air later in life
2 - frogs have a moist skin while fish possess a scaly skin (except eels)
3 - frogs can live on land while fish (outside of lungfishes) live their lives entirely in the water
4 - frogs have projectile tongues, fish do not
5 - fish skulls are far more complex in bone number and construction than frog skulls
6 - frog forelimbs are attached to their spines while fish forelimbs (pectoral fins) are attached to their skulls
