Let me be more specific. I am a business in CA, (online sales), that would like to incorporate and would like to get the best options available. The whole different state thing is confusing. Any advise or ideas would be greatly appreciated

Even if you incorporate in another state such as Nevada or Deleware if you are doing buriness in California you are subject to California Laws and being incorporated in another state will not protect you from federal or state laws and taxes.

Only if your business has a physical presence in Nevada or Deleware do you have the legal protection by incorporating in that state.

Even then If you operate out of your state of incorporation you are subject to the laws of that state.

It does not matter that all your business is conducted on line.

Suggestion if you have serious assets to protect move your online business to Nevada. Navada has the most Corporate friendly laws. However, If you open your business in CA then Move it the feds will be on to you.

What I mean by this is NEvada is the only state that refuses to share information with the FEDs and has no state income taxes on Corporations. (only sales tax)
But a business that has already been established in another state then moved to NV signals the Feds that you are doing business in Nev and can and may presue you with the idea you are hiding income.

The best and only state to incorporate in is the state where your businesss is physically operating. You can operate in more thatn one state however, lets say you have your wife working the business in NEv and you are in CA. The part of the business that is conducted in CA is subject to CA law and taxes, just as if you were incorporated in CA.

Having a resident agent for service is not the same as the business having a physical presence.

go to yahoo business section online and look at the type of corporations you could apply for and their advantage and disadvantages first before deciding what state to incorporate in.

This is not because I live here, But Columbus Ohio has been a test market for lots of businessess.
