it may be the files that are already on the drive that are read only status and can not be deleted. you need to check the files manually and delete them. or it may just be a global software setting that you need to change before you can format.
presuming you are reusing a flash drive that already has data on it. as you would not normally need to format a device before you use it as the standards the various companies use are just that industry standards for that device (as far as i recall, modern flash drives and compact memory cards of varing types). so if the drive is new and will not work then take it back to the store you bought it from and exchange it.
failing all the above find out who makes that drive sony, sandisk etc. and find the website and look up the help section for best results.

If you can't read, write, or format the drive and it is not locked, then the only logical conclusion is that the drive is bad. Check the warranty first then replace it with one that works.
I could find nothing in win2k that indicates you can write protect a drive without a switch of some sort on the drive itself.

Try going to Start>My Computer and rite click your Flash Drive and see if it says anything about turning the read only off. Im not exactly positive of what it will say but thats close enough for you to understand the concept. Hope this helps !
