The quality. I was bedridden for several years and never had the mattress (which I would love) but used the pillow. Initially I was prescibed Tempurpedic Brand by my doctor, however the health insurance only allowed me to get the generic less expensive brand which I used for 7-8 months.
The material became a bit tough and did not help me anymore. They are not made of the exact same materials. It actually lost most of its so called memory! I ended up purchasing the $100.00 Tempurpedic brand pillow and have had it for 4 years and the quality has not changed and the pillow itself is still in top notch condition. I love sleeping on it. I then also found that the comfort level of the generic version was never ever as good as the comfort level of the expensive T-Pedic original manufactures version.
There is a big difference in comfort level. Treat yourself on this one and get the best. You will not realize how greatfull you will be... because you will never have had the experience of the lesser quality generic brands.

Memory foam mattresses are designed to give all those conveniences, which you can demand for. It is made of special high-density foams. You may wonder why memory is attached with the mattress. The reason is the super soft high-density foams gets squeezed with a slightest of pressure put on it and takes a longer time to get back to it's original form or size. For this reason if you lie down on the mattress and get up after some time, you can see your body impression is imprinted on the surface, just like a stamp impression. So we can say that the mattress has a memory, which records the body pressure.

Matresses have such a rediculous profit margin, it makes me sick. (Source: friend who owned a mattress factory, and is in the business).
If the two mattresses are really of identical construction, and materials, then the $300 one is the way to go.
Unfortunately there is no way to tell, just on what you are asking here, if they really are identical, and it would take pages of Yahoo.answers to try and get you the knowledge you need.
BTW, real Tempur foam (what you might be referring to as memory foam) is very durable and long lasting (and comfy -- I sleep on it).

warning, do not buy the 1300 memory foam. MEMORY FOAM disintegrates and breaks down very quickly. It will not last you long enough to spend that much money on it
