The two are not incompatible, there are many multicellular prokaryotes. being multicellular does not require differentiation, there are many eukaryotes that are multicellular, with every cell being identical (e.g. Gonium)

Good question. I can only guess, but it seems to me that the filament or matrix is not functioning as a tissue or an organ and that the processes of the cells are not coordinated at a higher level.

The cells remain individual units and do not differentiate.

prokarayotes is one cell organism
multicellular is is two or more cells in an organism
