and its the movie version of spawn which dosent use guns

Spiderman has the acrobatic skills and whitt but spawn has more weapons then normal. I would have to go with Spawn but it would be a very close fight

Spawn would start off winning but if spidey can withstand his early attacks he has the endurance to win.

Spiderman he is too quick and agile. his speed will stop a lot of batman's gadgets, also hand to hand combat spiderman's spidey-sense will let him dodge every single one of Batman's moves, he is also a fair bit stronger than batman. Batman is great, but the powers SpiderMan has would let him win fairly easy, however Bruce Wayne could kick the hell out of pre-power Peter Parker. But seeing as both were very smart they would have made a great team.
