The difference is in resolution between the two screens. The one with the higher resolution (240x320) means two things.

1. The phone will display more information. This means more lines of text, more parts of the picture and ultimately less scrolling around.

2. The screen quality is higher. The picture will be sharper and you will see more detail.

Given a choice between the two phones, the one with the higher resolution will be the better choice.

The size of the picture. 240x320 means 240 pixels horizontally and 320 pixels vertically.

That being said it doesn't have anything to do with the actually size of the screen.

The first one will have a better image.
