FAT32 is an old file system which doesn't support security.

NTFS (New Technology File System) was produced by Microsoft a few years back and allows you to implement security at the folder level within Windows.

I'd go with NTFS.

NTFS offers security and a much bigger size harddrive. Actually, NTFS offers everything you won't find in FAT. For XP or 2000 Pro only use NTFS. Fat offers not security at all when compared.
