Friends are wonderful, however it is difficult for a friend to be objective in their advice to you because they have an emotional attachment to you as well as personal interest in the outcome of any action you take which may affect the friendship. A good counsellor is totally objective and can view you and your situation without any emotional bias. The good counsellor will lead you to find the best solution for yourself by leading you through the process of discovering what is really important to you.

A friend can be a confidant, depending on how well you know or trust them. They tend to give you advice, some of which you may not want to hear.
A counsellor... esp. a psychotherapist may not advise you on your situation but guides you through your own thoughts. The trick to being a good counsellor is not giving out good advice, but asking the right questions. The person who is being counselled is then more likely to resolve their own issues.

a counsellor offers help and just help as a mutual acquaintance. a friend phones you up and goes out on a night with you. you also have a bond with a friend which is noticeable through a time span of which u spend 2gether

It depends. You can befriend anyone, regardless of who or what they are. The word counselor comes from the 13th century Anglo-French word cunseil, from Latin consilium, from consulere to consult ...the word meaning a person who gives advise or counsel. Problem is there is good sound counsel and poor counsel as well. I hope you choose wise counsel in your decisions

First of all, the title. One is informal and the other is more professional and formal.
Secondly, I think that a counselor can be a friend, but a friend can't necessarily be a counselor.
