If you were to say, "Tell me how he is," you might be asking for characteristics of someone you didn't know--like, is he studious, or quick to jump to conclusions, or whatever. If you were to say, "Tell me, how is he" you would be asking for is present condition--such as health.

If you're phrasing both as a question...then the difference is the first one is grammatically incorrect.

I agree with the other answerers except you can change, "How he is" by using voice inflection, thus changing the statement to a question.

The first is incomplete. It should be formulated that way:
"Tell me how he is." or "Ask him how he is."
