someone owes you 20 dollars and they give you a watch in lieu of the 20 (that's worth the supposedly 20 they owe you ) sometimes you get ripped off !! watch is worth five and breaks 3 Min's after you get it ....

it means "instead of". In the obituaries you might read, "in lieu of flowers you may make a donation to the American Cancer Society" in other words, instead of buying flowers, use your money to make a donation.
