Who would win? And why

Great Lord Cthulhu would win. He could drive Godzilla mad, rendering Godzilla completely powerless. Also Cthulhu himself cannot be killed - that is not dead which can eternal lie. And with strange eons, even death may die.

Godzilla's a dinosaur holdout. There's a reason why they all got killed off! The same vulnerabilities that killed off all of them but crocs and gators (and turtles and insects that survived) will kill him, too.
You just gotta find the lizard's weak spot.
