What kind of collective investment should I use?

Want to start an relatively small collective investment scheme with where I collect money from people here and invest it in the US stock markets, with the following charactheristics:

* Registered and located offshore (Central America)
* Invest mainly in US markets
* Only local citizens/residents may invest
* Pay low or no taxes in the US
* Simple registration procedure
* Makes use of online brokers.
* May short sell, hedge, use options freely without restrictions, as individual investors do.
* There's only one (main) account is registered to my company in the broker.

You need to ask an investment lawyer in your country how to set up a hedge fund.
