I think you should do it on a romantic vacation, even if it's just a daytrip. If she values her privacy, do it someplace when you're alone with her. A restaurant or tourist spot works if she likes the public. Either way, take her someplace special to her. It helps if you have a specific spot that she likes, it may even be in your city or town. Is there anywhere really special for you two. Maybe the spot you went on your first date? If not a really pretty park is nice and you will have some privacy. A really great restaurant if she likes a little Public Display of Affection. Just think of where some of her favorite places are and her favorite things to do and I am sure you will come up with something memorable. i would just make sure it is not too loud. Rock concert is definitely out of the question.

Surprise her. She's probably expecting you to propose on Valentine's Day, so go over to her house a day or two before Valentine's Day and just surprise her. Bring dinner or something.
Maybe you could show up at her house at exactly 12:00 am on Valentine's Day. That would also suprise her.
My main suggestion is just to do it before Valentine's Day so she won't be expecting it.

Take her to one of her favorite places & pop the question. Somewhere with a nice view. Completely catch her off guard. Don't do the typical get dressed up & go to dinner.

You two by yourselves, when she comes home have a note on the door directing her to certain spots, like a treasure hunt, then the last room she goes in you should be in there with candles lit, down on one knee...

take her to a nice park, with a lake, set up a picnic with a fondue set that is warmed by a candle, eat choclate strawberries and then when the sun is beginning to set or the mood right, pull the ring out and as kher.

somewhere that means something to both of you.
a beach, a fancy restaurant or the top of the eifel tower are all nice and all, but that one place that both of you love to go (or would love to go to) may mean much more to her.
