What a question! I will hold off on my opinion about overpayment and hot air and try to answer your question as I think you meant it.

A company usually has a board of directors that are elected by all the owners or shareholders. The board hires someone to be in charge of the whole company since the board is not involved in the day to day operations of the company. This person is called the chief operating officer or CEO. Just about everyone works for the CEO.

They basically act as the owner on behalf of the owners or shareholders.
