I don't know your reasons, since there are hardware and software constraints, that will keep you from updating. But normally, there is not much keeping you from updating your Windows XP to Vista.

First hardware: You will need pretty good hardware to get the same experience in Vista as you did in XP. Get as much RAM as possible. But normally, if Windows XP runs, then there is nothing keeping you from upgrading to Vista.

On the software side: You need Windows XP to upgrade without losing data.
I'd recommend getting so called OEM or System Builder versions. These come without packaging and you won't get 2 free support calls. But they are cheaper than the Update version of Vista.
Furthermore, if you can only get an Update Version, there are predetermined Upgrade paths.
For example: If you have Windows XP Home, you can only upgrade to Home Basic or Home Premium.
If you have Windows XP Professional, you can only upgrade to Vista Business or Ultimate.

If you start the Windows Vista DVD in your Windows XP, then Vista will ask you if you want to Upgrade your current Windows System. This Upgrade will keep your settings and programs.

However, Upgrade only works from Windows XP.

If you still use Windows 9x or ME, you will need the full Version.
