A fried processor is broken and wont work. Simple as that. A heat sink is a lump of metal with fins on it designed to remove heat from the processor. There's nothing to go wrong apart from the heat paste giving up and not allowing heat to transfer to the heat sink efficiently. And if there is a fan attached then this can give up and cause overheating.

To find out if your processor (CPU) is fried, try switching on your computer. If the processor is fried, nothing will happen.

Heatsinks do not run out. As was stated earlier, it's a solid piece of metal. It might, however, become clogged with bits of fluff which will cause it to not dissipate heat from the CPU very well. This will cause your processor to overheat, and eventually die.

You may also find, after a few years that the seal between the thermal paste and the CPU becomes dried out. This, again, will cause the CPU to overheat, resulting in a dead CPU.

Sometimes if the heatsink is not seated properly it will not make proper contact with the processor to cool it and thus fry it. Often the fan dies and will leave it unprotected and fry it too.
