yes, it might, but u will need a better cooler cause my pentium d at 2.66 ghz gets hotter than a hot potato

sorry but no, the dell E310 can only have a p4 640 3.2 ghz processor (max) if you want that one then you will have to get a new motherboard as well. I would recomend getting the asrock 775i65G it is cheap easy to install and it is not made by asus.
If you want to upgrade your processor but not the motherboard then the best processor that is compatiable is this one:
