As long as you get a valid serial key with it, your fine. but if the key has been passed around alot, microsoft has likely blacklisted, and it is no longer a genuine key.

of there is no key, the copy is useless.

the problem with buying an extra key is: at least online anyway, you must provide the "original" key that came when you "purchased" the original.

You might be able to use it. If it prompts you to call the 1-800 number to register it and easily tell them you bought the disk from a friend and it is yours now. I had to do this and they walked me through entering a new activation code :) Works fine :)

Windows XP requires activation (online or on the phone). Once it is activated ("used") it can not be re-activated.

In short, dont go for a "used" XP package. It is also illegal!
