Normally, high gear is a 1 to 1 ration, that is almost as if the transmission was a straight through link up from the engine to the differential.
An overdrive reduces that ration even more, such as .5 to 1, for example. This lowers the PRM's of the engine, while the car still maintains the same speed. This gives better gas mileage, and less vibration, as the engine is turning slower, and reduces engine wear.

With older cars with 4 gears in top gear the output speed of the gearbox is the same as the input engine speed. Overdrive is an extension to the gearbox, 5th gear, which makes the output of the gearbox faster than the input engine speed.

It's a device used in automatic transmission to allow the choice of an extra-high overall gear ratio for high speed driving and so it saves more fuel.

Any gear driven over the ratio of 1:1 is "overdriven". Meaning the engine turns once for the driveshaft to turn once.
