I need more specs, list the maker and model of what you currently have.
If it's that old I would suggest you buy a new pc. It will probably be cheaper in the end.

Your PC has a really good config. If it is in great shape... just go in for an upgrade. If your mobo supports dual core go in for that else just stick around with your current processor. If you go in for a new one, you'll be wasting money that's all.
Anyways, I don't advise rushing for a Vista Upgrade, techincally XP may be obsolete but it is still installed on a lot of system and upgrading all of them will take time. If your Using this PC at home, I suggest you can post pone the Vista upgrade for a year or so, unless you absoultely need to have it.

Updating your old computer is never worth it, because there is always a better one. It's better if you save for a new one (if you really want a better one), it may take longer but it will be much better than what ever you could have upgraded with that money, besides, if you end up upgrading everything, you would have spent a lot more than buying a new one.
one thing you can also do, is keep the harddrive and on your new computer (if you get one) add the harddrive so you have more memory, (you can either have it as a default one or just as secondary)
and if the new computer package doesn't come with CD, DVD etc.. it never kills to have more.

Well, your computer sounds pretty good, so I would say upgrade.
But that's just me.
One thing that newer computers have over yours is Dual-Core processors. Basically, it's like having 2x the processors in your computer, thus, allowing you to have 2x the number of windows and programs open.
