tile is so much nicer than vinyl.... but i hope that you take out the tile. there is alot of work to this project...you would be better off re grouting and cleaning the tile

You can just clean the tile and slap that vinyl on...but I don't recommend it. Vinyl floor manufacturers will tell you that it's fine, but I'd only advise it as a "quick fix."

It's best to remove the tile and prepare the surface (i.e. make it flat and smooth). If you just apply it to the tile w/ all the bumps and variations, the vinyl is much more likely to tear. Also, the variations under the vinyl are going to be quite visible unless the tile job was done very neatly. Hope this helps!

I'm assuming the ceramic tile must be old and damaged for you to want to cover it with vinyl. Any how, the tile and grout must be secure in place. You will need to skim coat the floor ( available at your home centers ) to fill in any depressions ie. grout lines, patterns of the tile, damage to the tile. After allowing the skim coat to dry, install the vinyl using the common adhesive. ( mapei, henry's, etc. ) Be sure to use a floor roller to assure good adhesion. ( at least 80# ). Good luck.
