It means that a board of directors will always (or almost always) follow the advice given to them and just go through the formality of signing off on something. Many times their approval is needed for a major spending project or something but they don't always for whatever reason look into it they just sign off on it without questioning it too much

The board of directors does not have the time to research everything that it has to make a decision on. They rely on others to do the research. Usually, if something is a rubber stamp, the board will go with whatever suggestion is given to them.
