Oftentimes couples have similar rights and responsibilities under either but it depends on the state. Marriage is the recognition that a male and a female have decided to start a family unit and have taken responsibility for that. It can be preformed by a recognized church official or various civil (government) officials.
A civil union tends to be seen as the same thing for same sex couples. Some states don't allow them and even in the ones that do, not all the rights implicit in marriages are always guaranteed. They usually are only preformed by civil authorities although some denominations will recognize and preform them.
If you think they're the same thing, go find someone married by a judge and ask them why their marriage isn't a civil union. It was after all only recognized and recorded by the government and not blessed by a church.

There are some additional benefits of marriage that are not in a civil union. For example, the inheritance tax laws..if you're married you don't get nailed with an inheritance tax. You do in a civil union. You have full rights as a parent in a marriage in adoption, but in a civil union (same sex) only one person can adopt the child.
There's some others too.

A civil union is a legally recognized union similar to marriage. Beginning with Denmark in 1989, civil unions under one name or another have been established by law in many developed countries in order to provide same-sex couples with rights, benefits, and responsibilities similar to those enjoyed by opposite-sex couples in marriage. In some jurisdictions, such as Quebec and New Zealand, civil unions are also open to opposite-sex couples.
Many people are critical of civil unions because they say they represent separate status unequal to marriage ("marriage apartheid"). Others are critical because they say civil unions allow same-sex marriage by using a different name.
Marriage is the socially sanctioned union that reproduces the family.
So basically, marriage is between ONE MAN AND ONE WOMAN.
A civil union is just a weird way of saying something is marriage when it's really not...... same-sex "marriage."

It's actually the same thing if I'm not mistaken. A civil union is a marriage officially conducted by the authorities, not the church. Certificates are required for both, and it's a good thing. Both are legally binding.

From a legal perspective virtually no difference. From an emotional and institutional perspective it is perceived as "second class". Go figure.
