You should look at some of the nolo books. (http://www.nolo.com/) They offer some very straight forward how-to law guides.

The form you company takes really depends on the type of business you want to build. If it is only one person (yourself) then a sole proprietorship will work. If you plan on having partners or directly hiring people (not on a contract basis) than you need to look at the other options.

Nolo is is best source - they might even have some answers for you on their website.

Before starting any business, have your accountant and lawyer lined up. Speak to them on these issues. Most professionals will at least give you one meeting without charging you an arm & a leg, and you'll get valuable advice. Well worth it!!
